1. Applicability
1.1. The business relationship between extragroup GmbH, Pottkamp 19, D-48149 Münster, Germany (hereinafter referred to as the “vendor”) and the customer (hereinafter referred to as the “customer”) is exclusively governed by the following General Terms and Conditions in the version valid at the time of order placement.

1.2. Please address any questions or complaints to our customer service department. Please open a support ticket. Alternatively, you can send an email to info@extragroup.de.

1.3 Sales transactions via the shop are for business customers only. Special consumer rights are not applicable.

1.4. Terms and conditions of the vendor apply. The buyer agrees to these terms and conditions by checking the box labelled thus. By checking the box, the buyers also conforms of having read and acknowledged the terms and conditions. Terms and conditions of the buyer do not apply.

2. Order process

2.1. When the customer clicks the Place order button they make a binding request to buy the goods currently in their basket.

2.2. A binding purchase contract is only deemed to be concluded if the vendor dispatches or hands over the product ordered to the customer within 7 days or confirms the dispatch of the product ordered within 7 days by sending the customer an invoice.

2.3. If the payment is not received by the vendor within 10 calendar days of the sending of the order confirmation, the vendor is entitled to withdraw from the contract, thus rendering the order invalid and in turn freeing the vendor from their obligation to supply. At this point the order is considered to have been brought to a conclusion with no further consequences for either the customer or the vendor.

3. Prices

All prices indicated on the vendor’s website are exclusive of statutory value-added tax (VAT). A country-specific VAT may get applied during checkout.

4. Delivery, product availability
4.1. If the customer selects advance payment delivery will occur further to receipt of the invoice amount.

4.2. The vendor is entitled to withdraw from the contract if, at the fault of the customer, delivery of the goods fails despite three delivery attempts. Any payments already made by the customer will be refunded without delay.

4.3 The vendor has the right of revocation, should the buyer not possess a valid license of Vectorworks.

4.4. Customers are notified of delivery periods and restrictions on delivery (e.g. delivery to specific countries to the exclusion of others) on a separate webpage or in the respective product description.

5. Terms of payment
5.1. The customer is free to select one of the available payment types during the order process; their selection is made prior to completion of the order process. Customers are informed about available payment types on a separate webpage.

5.2. If third-party providers are commissioned to process the payment (e.g. PayPal) the general terms and conditions operated by those providers apply additionally.

6. Retention of title
The vendor retains the title of the goods supplied until such time as full payment has been made.

7. Product warranty, guarantee and liability

7.1. In order to evaluate the features of the software, buyers can download a fully functional evaluation license prior to purchasing. Purchase is as is and at the buyer’s own risk. Any compensation is foreclosed.

7.2 In cases where compensation cannot be foreclosed, the amount of compensation cannot exceed the price of the purchase

8. Educational and evaluation licenses
Commercial use or transfer of evaluation or educational licenses is prohibited. The right to use exists during the time of training/teaching/testing. The license expires by the end of this period. Violations incur a penalty for the breach of the contract, equivalent to the catalog price of the full version.

9 Copy protection
9.1 In order to validate the use of licenses, the computer must be connected to the internet at least once every 5 days. The client agrees that extragroup downloads necessary information to that end. This includes clients’ address data, computer identification and a public IP address. Other personal data are not extracted.

9.2 The extragroup reserves the right to revoke licenses after written notice should a validation not be possible within 5 days.

10. Closing remarks
The place of jurisdiction is Münster (Germany). The UN sales law applies in its current form in the form of the United Nations Convention on Contracts for the International Sale of Goods (CISG).
